Terms and Conditions

These Terms and Conditions govern the relationship between CANARY ISLANDS CONSULTING, S.L.P.U. (trade name: JAIZME) and the users who contract our professional advisory and consulting services.

2. Purpose
These Terms and Conditions govern the provision of the following professional services:
- Tax and fiscal advisory services
- Employment and Social Security advisory services
- Legal and commercial advisory services
- Business consulting
- Artificial intelligence services applied to business management
3. Acceptance of the Terms
Contracting any JAIZME service implies full and unconditional acceptance of these Terms and Conditions. If you do not agree with any of the conditions set out here, we kindly ask you not to use our services.
4. Contracting Process
4.1 Request for information
The client may request information about our services through:
- The website contact form
- Phone call
- In-person visit to our offices
4.2 Quote
JAIZME will prepare a detailed quote that will include:
- Description of the services to be provided
- Professional fees
- Method and terms of payment
- Estimated duration of the service
- Applicable specific conditions
4.3 Formalisation of the contract
The contractual relationship will be formalised by means of:
- Express acceptance of the quote in writing or electronically
- Signing of the professional engagement letter when required
- Payment of the agreed initial amount, where applicable
5. JAIZME's Obligations
JAIZME undertakes to:
- Provide the services with the utmost professional diligence and in accordance with the lex artis of the profession.
- Maintain the confidentiality of all information provided by the client.
- Inform the client about the status of their matters and the actions taken.
- Meet the agreed deadlines, except for justified reasons.
- Maintain valid professional civil liability insurance.
- Comply with the ethical obligations of the profession.
6. Client's Obligations
The client undertakes to:
- Provide truthful, complete and up-to-date information for the provision of the service.
- Deliver the necessary documentation within the requested deadlines.
- Communicate any relevant change in their personal, employment or business situation.
- Pay the agreed fees under the agreed conditions.
- Actively collaborate in the provision of the service.
- Provide up-to-date contact details.
7. Fees and Method of Payment
7.1 Fees
The fees for the services provided will be those indicated in the quote accepted by the client. Prices do not include VAT (or IGIC in the Canary Islands), unless expressly stated.
7.2 Payment methods
JAIZME accepts the following methods of payment:
- Bank transfer
- Direct debit
- Credit/debit card
- Cash (for amounts below the legal limit)
7.3 Payment terms
Unless otherwise agreed:
- One-off services: payment at the start or completion of the service as agreed.
- Recurring services: monthly/quarterly invoicing due within 15 days.
- Failure to pay on time may give rise to late-payment interest and suspension of the service.
7.4 Expenses and disbursements
Expenses and disbursements (fees, registries, notary, procedures, etc.) will be borne by the client and will be invoiced separately from the professional fees.
8. Duration and Termination
8.1 Duration
The duration of the contract will depend on the nature of the service:
- One-off services: Until completion of the engagement.
- Recurring services: Indefinite duration with the possibility of termination by either party.
8.2 Termination of the contract
The contract may be terminated by:
- Mutual agreement of the parties.
- Completion of the contracted service.
- Withdrawal by the client with 30 days' notice.
- Breach of obligations by either party.
- Non-payment of fees for more than 60 days.
8.3 Effects of termination
In the event of termination:
- The client must pay the fees accrued up to the date.
- JAIZME will hand over to the client all documentation belonging to them.
- Confidentiality obligations will remain in force.
9. Confidentiality and Professional Secrecy
JAIZME guarantees the confidentiality of all information provided by the client, in accordance with:
- The duty of professional secrecy inherent to the activity.
- Personal data protection regulations (GDPR and LOPDGDD).
- The applicable professional codes of ethics.
This obligation will remain in force even after the end of the contractual relationship.
10. Liability
10.1 JAIZME's liability
JAIZME is liable for the damages caused by negligent actions in the provision of its services, up to the limit of the coverage of the professional civil liability insurance taken out.
10.2 Exclusions of liability
JAIZME shall not be liable for:
- Damages arising from false, incomplete or inaccurate information provided by the client.
- Damages caused by the client's decisions contrary to the advice provided.
- Legislative changes or administrative criteria subsequent to the provision of the service.
- Delays caused by third parties (authorities, registries, etc.).
- Acts of God or force majeure.
11. Artificial Intelligence Services
For services related to artificial intelligence, the following additional conditions apply:
11.1 Nature of the services
AI services include chatbots, automations, GPT assistants and intelligent avatars. These systems are support tools that require human oversight.
11.2 Limitations
- AI systems do not replace human professional advice.
- Responses generated by AI must be validated by qualified professionals for critical decisions.
- JAIZME does not guarantee 100% accuracy of responses generated by AI systems.
11.3 Regulatory compliance
Our AI services comply with Regulation (EU) 2024/1689 (the EU Artificial Intelligence Act), guaranteeing transparency, human oversight and data protection.
12. Intellectual Property
Unless otherwise agreed:
- The reports, documents and work produced by JAIZME become the property of the client once the fees have been paid.
- JAIZME retains the rights to the methodologies, templates and know-how used.
- The client may not use the JAIZME name or trademark without express authorisation.
13. Data Protection
The processing of personal data will be carried out in accordance with the provisions of our Privacy Policy. JAIZME will act as controller or processor as appropriate to the nature of the service.
14. Communications
Communications between the parties will preferably be made by email. Notifications sent to the email addresses provided by each party will be considered valid.
15. Modifications
JAIZME reserves the right to modify these Terms and Conditions. Modifications will be communicated to clients at least 30 days in advance and will apply to services contracted from their entry into force.
16. Applicable Law and Jurisdiction
These Terms and Conditions are governed by Spanish law. For the resolution of any dispute, the parties submit to the Courts and Tribunals of Santa Cruz de Tenerife, waiving any other jurisdiction that may correspond to them.
17. Dispute Resolution
Before resorting to legal proceedings, the parties will attempt to resolve any disagreement through direct negotiation. If no agreement is reached, they may resort to mediation or arbitration at law.
18. Partial Invalidity
If any clause of these Terms and Conditions is declared null and void, the remaining clauses will remain in force and will be interpreted in a way that respects the original intention of the parties.
